SHOPPING ONLINE USA's failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. You and SHOPPING ONLINE USA are independent contractors. No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement. You agree that, except as expressly provided herein, there shall be no third party beneficiaries to this Agreement.
